Distribution of seats
Within the MOA, five (sub)sections are recognised. Not all (sub)sections are active.
1. Clients section
2. Small Bureaus Industry Group subsection
3. Research Hallmark Group subsection
4. Suppliers section
5. Special members, education
The last two are not (yet) active, but plans do exist for moving in the direction of claiming a rather more active role for them within the MOA.
As regards personnel composition, the general board of management should be a reflection of the association’s membership pool, taking into account the following factors.
The statutes prescribed that the general board of management of the MOA should consist of a maximum of 9 natural persons, of whom at least 3 are statutorily nominated by the Clients section and at least 3 by the Bureaus subsections (see article 9.2 of the statutes). The other seats could be allocated to representatives of other (sub)sections.
The first three (sub)sections of the MOA jointly form the largest group of members of the MOA. The last section forms a small minority.
At the moment, the general board of management consists of 9 natural persons, divided between (sub)sections 1 and 3. The Small Bureaus Industry Group subsection is not represented, although it is indeed active. This in contrast to (sub)sections 4 and 5 which are not (yet) active.
The following procedure has been proposed in order to provide for the appointment of new board members in the event of vacancies within the general board of management.
- Clients section: a minimum of 3 seats
- Bureaus section and the subsections which fall within it: collectively a minimum of 3 seats
- seat distribution according to the ratio of the total number of personal and company members within the section (pool)
- determination of the quota by the division of the pool/number of board members
- determination of number of seats on the board per (sub)section by the division of: sub pool/quota, with a minimum of 1 seat, and taking into consideration the statutory minimally-required number of board members from the Bureaus subsections and the Clients section.
- results of the pool/quota division are rounded down, with a minimum of 1, and with consideration being given to items 1 and 2.
- remaining seats are allocated by the board.
